• Finished perfumes and fragrance oils
• Bulk fragrance supply
• Private-label manufacturing
• Custom scent development

Product specifications, availability, pricing, and minimum order quantities (MOQs) may change without notice.

3. Orders, Pricing, and Payment

• All orders are subject to written acceptance by Kiano
• Prices exclude shipping, customs duties, VAT, sales tax, or import fees unless stated otherwise
• Full payment is required prior to production or shipment
• We reserve the right to cancel orders due to pricing errors, non-payment, or compliance concerns

For custom or private-label projects, written quotations, invoices, or contracts shall supersede these Terms where applicable.

4. Custom, Private-Label, and Bulk Orders

Due to the customized nature of fragrance manufacturing:

• Custom and private-label orders are final sale
• No refunds or cancellations once production begins
• Minor batch variations in scent profile, color, or packaging are industry standard and not defects
• Intellectual property ownership for custom formulas follows the terms specified in written agreements

5. Regulatory Compliance (US & UAE)

You acknowledge and agree that:

• Products may be subject to U.S. FDA, IFRA, UAE ESMA, and GSO standards
• You are responsible for ensuring products comply with local resale, labeling, and import laws in your jurisdiction
• We do not guarantee regulatory approval for resale in third-party countries unless expressly agreed in writing

6. Shipping, Export, and Customs

• Delivery timelines are estimates only
• Risk of loss transfers upon handoff to the carrier (EXW or FOB unless otherwise stated)
• Customers are responsible for customs clearance, import permits, duties, VAT, and regulatory filings
• We are not liable for delays, seizures, or rejections caused by customs authorities

7. Returns and Refunds

• Opened or used products are non-returnable
• Custom, bulk, and private-label orders are non-refundable
• Any approved return must receive written authorization
• Return shipping costs are borne by the customer unless otherwise agreed

8. Intellectual Property

All website content, branding, product names, formulations, designs, and materials are the exclusive property of Kiano perfumes or its licensors.

Unauthorized reproduction, distribution, or use is strictly prohibited.

9. Confidentiality and Non-Disclosure

Any non-public business information shared—including pricing, formulas, samples, and documentation—is confidential and may not be disclosed without prior written consent.

This obligation survives termination of any business relationship.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

• Kiano shall not be liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the amount paid for the specific product or service giving rise to the claim
• No liability for business interruption, lost profits, or resale losses

11. Disclaimer of Warranties

All products and services are provided “as is” and “as available.”

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Fragrance perception and performance vary and are subjective.

12. Indemnification

You agree to indemnify and hold harmless Kiano perfumes, its affiliates, officers, and partners from any claims, losses, damages, or expenses arising from:

• Improper use or resale of products
• Regulatory non-compliance
• Breach of these Terms

13. Governing Law and Jurisdiction

• United States transactions shall be governed by the laws of the State of Colorado, USA
• United Arab Emirates transactions shall be governed by the laws of the UAE

Jurisdiction shall lie exclusively in the courts applicable to the operating entity involved in the transaction.

14. Force Majeure

We shall not be liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, supply chain disruptions, regulatory changes, or governmental actions.

15. Amendments

We reserve the right to modify these Terms at any time. Updates become effective upon posting. Continued use constitutes acceptance.
